Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and the operators of PRXVT ("PRXVT", "we", "us") governing your access to and use of the PRXVT website, application, and API (together, the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms. You may use the Service only where doing so is permitted by applicable law. You are solely responsible for determining whether your access to and use of the Service, including any content you submit or generate and any payment you make, is lawful in your location, and for complying with all applicable laws, regulations, and third-party rights.

The Service provides access to third-party and/or self-hosted AI models and related tools. We may add, change, suspend, or discontinue any part of the Service at any time without liability. We do not guarantee that the Service, any model, or any feature will be available, uninterrupted, error-free, or that any particular model will remain accessible.

No professional advice. The Service and any AI output are provided for general informational purposes only and are not professional advice of any kind (including legal, financial, medical, tax, or safety advice). Do not rely on AI output as a substitute for a qualified professional.

AI models can produce inaccurate, incomplete, offensive, or otherwise inappropriate output, and may "hallucinate" facts. We do not review, endorse, or guarantee any output. You are solely responsible for evaluating and verifying any output before relying on or acting on it, and for any consequences of doing so. You are responsible for the content you submit and for how you use any output, including ensuring it does not infringe the rights of others or violate any law.

You agree not to use the Service to:

• violate any applicable law or regulation, or infringe the rights of any person;
• create or distribute content that sexually exploits or endangers minors, or that is otherwise unlawful;
• attack, overload, or interfere with the Service or its infrastructure, or attempt to circumvent its security, rate limits, or access controls;
• engage in fraud, money laundering, or the financing of illegal activity; or
• facilitate serious harm to others, including the development of weapons or attacks on critical infrastructure.

We may suspend or block access that we reasonably believe violates these Terms or applicable law, without notice. You bear full responsibility for your use of the Service and any content you submit or generate.

The Service is paid for using cryptocurrency (USDC on the Base blockchain). Blockchain transactions are irreversible, are processed by networks and third parties we do not control, and may be subject to delays, fees, and network conditions. Except where required by law, all payments and balances are non-refundable, and credits or balances have no cash value and confer no rights other than access to the Service while it is available. You are responsible for any taxes arising from your use of the Service. We are not a bank, custodian, exchange, or money-services business, and we do not provide financial services.

Access may depend on cryptographic keys, recovery material, or API keys that are held on your device or by you. You are solely responsible for safeguarding them. Anyone with access to them may use the corresponding balance or access. We cannot recover lost keys or local data, and we are not responsible for any loss arising from your failure to secure them.

The Service, including its software, design, and trademarks, is owned by us or our licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. As between you and us, and subject to the rights of model providers and applicable law, you retain your rights in the content you submit. You are responsible for ensuring you have the rights necessary to submit that content.

The Service and all AI output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty that the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, in no event will PRXVT, its operators, contributors, or providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, funds, or cryptocurrency, arising out of or related to your use of (or inability to use) the Service or any AI output, whether based in contract, tort, strict liability, or any other theory, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of the amount you paid to use the Service in the thirty (30) days before the event giving rise to the claim, or one hundred US dollars (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless PRXVT and its operators, contributors, and providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content or output, your violation of these Terms, or your violation of any law or the rights of any third party.

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for any suspected violation of these Terms or applicable law. The sections that by their nature should survive termination (including Sections 4 through 14) will survive.

These Terms are governed by the laws applicable to the operator of the Service, without regard to conflict-of-laws rules. To the extent permitted by law, any dispute arising out of or relating to these Terms or the Service will be resolved on an individual basis, and you waive any right to participate in a class or representative action. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
